Re: Letter of Intent – Music Education Platform Partnership
To Whom It May Concern,

The FULL BRANCH NAME (the "YMCA") is pleased to express its intent to partner with Practicing Musician ("PM") to bring a comprehensive, white-labeled music education platform to our members. This collaboration reflects our commitment to strengthening mind, body, and spirit by making high-quality music education available to every family we serve. This letter further reserves the YMCA's spot in PM's national rollout priority list and signals to potential foundation funders that the YMCA is committed and in place.

This partnership is contingent upon one of the following decisions by the YMCA: 1) YMCA pays for PM's services (15% discount in perpetuity); 2) YMCA raises donor capital (10% discount in perpetuity); or 3) PM's successful fundraising of donor capital on behalf of the YMCA is sufficient to cover all associated costs. The specific funding mechanism and disbursement terms would be formalized in a separate agreement among the PM, the YMCA, and, if applicable, the relevant funding entity. The YMCA reserves the right, in its sole discretion, to decline any donation or funding arrangement that conflicts with its mission, vision, or values.

The proposed platform would include access to 3,500+ video tutorials across 15 instruments, new custom content added annually, an advanced learning management system with member progress tracking, downloadable resources, and universal device compatibility. PM would also provide seven-day customer and technical support, a shared regional Community Development Partner, and a comprehensive staff training program. The contemplated term of any resulting agreement is three years, after which the YMCA would retain full discretion regarding continuation.

This letter does not constitute a binding agreement but reflects the YMCA's genuine enthusiasm for this partnership and our readiness to move forward under one of the funding options described above.
